About the Role

mdp Law is seeking a personable senior applicant with corporate and commercial experience to fill an important Senior Associate role in our firm. This is a newly created position, as an additional Senior Associate is required for this rapidly growing practice. This new position requires a candidate with a proactive personality, excellent drafting skills, and demonstrated commercial acumen and ability to foster and develop client relationships.

The role will see you working within an experienced IP and commercial team in a collegiate environment on a variety of matters, conducting work such as the following:

  • conducting corporate and commercial advisory work;
  • drafting and negotiating all manner of commercial contracts;
  • business structuring and related advisory work;
  • advising on corporate compliance including the Corporations Act 2001 (Cth);
  • drafting and negotiating shareholder and unitholder agreements, joint venture agreements, distribution and marketing agreements and occasionally, franchise agreements;
  • acting in business sales and acquisitions, including conducting due diligence investigations and drafting key transaction agreements;
  • advising on intellectual property issues, in particular, assisting clients with intellectual property commercialisation, including advising on and drafting licence agreements; and
  • capital raising advisory work including compliance with the Corporations Act 2001 (Cth);
  • drafting capital raising documents including information memorandums;
  • business development for the firm; and
  • mentoring and training junior lawyers.

Experience in one or more of the following areas would also be an advantage but not essential:

  • trusts;
  • succession planning;
  • wills and estates;
  • property and leasing; and
  • litigation.

  • proven experience in leading and mentoring junior lawyers; and
  • above all, an open mindset and willingness to work on a broad variety of matters and legal areas.
